2015.02.02 Завершена сделка по продаже 51% акций OTA государству Алжир. В течение 7 лет акционеры не смогут продавать свои доли. OTA должна будет выплачивать в виде дивидендов не менее 42.5% консолидированной чистой прибыли.

Но, одно дело подозрения в коррупции и шпионаже, другое дело, - когда речь идет о судах. В Алжире несколько руководителей Huawei и ZTE получили заочный приговор суда - 10 лет тюремного заключения.

2012.04.12 Vimpelcom's subsidiary submits formal notice of arbitration against the Algerian government

Amsterdam (April 12, 2012), press-release, via MForum.ru - “VimpelCom Ltd” (“VimpelCom”, “Company” or “Group”) (NYSE: VIP), a leading global provider of telecommunications services, announces that earlier today its subsidiary, Orascom Telecom Holding S.A.E. (“OTH”), submitted a formal Notice of Arbitration against the government of the People’s Democratic Republic of Algeria in respect of actions taken by the Algerian government against Orascom Telecom Algerie (“OTA”). The claim in the Notice of Arbitration is being made under the arbitration rules of the United Nations Commission on International Trade Law.

In its Notice of Arbitration, OTH asserts that since 2008 its rights under the Agreement on the Promotion and Reciprocal Protection of Investments between Egypt and Algeria have been violated by actions taken by the Algerian government against OTA, including the recent court judgment against OTA and a member of its senior executive team imposing a total fine of 99 billion Algerian Dinar (approximately USD 1.3 billion) and a criminal sentence against a member of OTA’s senior executive team.

VimpelCom continues to be open to finding an amicable resolution with the Algerian government that is mutually beneficial to both parties.

OTA is 96.8% owned by OTH, which, in turn, is 51.9% owned by VimpelCom.

2012.04.10 Vimpelcom готов подать жалобу на Алжир по поводу конфликта вокруг Djezzy. Договоренность с властями на сегодняшний день кажется сорванной. Оценка компании составляет US$7 млрд. Ожидалось, что Vimpelcom продаст 51% оператора правительству за примерно US$3.5 млрд. Но в момент, близкий к заключению сделки, суд наложил на оператора штраф в размере US$1.3 млрд. Министр финансов Алжира считает, что сумма компенсации должна быть уменьшена на размер штрафа. В Vimpelcom не согласны и намекают на планы обращения в международный суд. В Алжире компания также подала апелляцию. 

2012.01.09 Vimpelcom и Министерство финансов Демократической народной республики Алжир объявили о подписании необязывающего меморандума о взаимопонимании в отношении возможной продажи государству Алжир компании Orascom Telecom Algerie (OTA). Vimpelcom выразил согласие на продажу основного пакета акций OTA, если за него будет предложена достойная цена, а также будут выполнены некоторые другие условия. Стороны также договорились о возможном альтернативном сценарии, который может устроить обе стороны. В ближайшее время будет проведена оценка OTA с участием финансовых консультантов сторон. 2012.01.09 Vimpelcom ltd. and Ministry of finance of Algeria sign memorandum of understanding regarding Orascom telecom algerie

Amsterdam (January 9, 2012), via MForum.ru – VimpelCom Ltd. (“VimpelCom”) (NYSE: VIP) and the Ministry of Finance of the Algerian Democratic Peoples Republic, today announced that they have entered into a non-binding Memorandum of Understanding (“MOU”) to explore the possible sale to the Algerian State by Orascom Telecom Holding S.A.E. ("OTH") of an interest in its subsidiary Orascom Telecom Algerie (“OTA”). VimpelCom has agreed that it will consider selling a majority stake in OTA, subject to an acceptable price and satisfaction of other conditions. The two sides have also agreed to consider alternative acquisition scenarios that could be mutually beneficial to both parties.

Any such transaction would be subject to, among other things, definitive documentation and mutual agreement on price. Following signing of the MOU the Ministry of Finance and VimpelCom will undertake a process to agree on the valuation of OTA with the involvement of each party’s financial advisors. The transaction will also require corporate approvals by OTH and VimpelCom.

OTH has not been party to the discussions regarding the MOU and the transaction. VimpelCom owns 51.7% of OTH, which, in turn, owns 96.81% of OTA. It is contemplated that the governance and management control of OTA would be structured so as to permit OTH and, consequently, VimpelCom to continue to consolidate OTA under International Financial Reporting Standards. 2011.06 In Algeria, the national regulator announced its intention to regulate the promotions that telecommunications carriers may offer, to require its consent to interconnection agreements, offers and tariffs and to require additional identity checks for subscribers. These new directions have had the effect of hampering market competition in Algeria, increasing tariff rates for subscribers and, with respect to the identity checks, causing subscribers to cancel their subscriptions. Algeria may impose new laws, rules or regulations that affect OTH’s business, prospects, financial condition or results of operations. 2011.06 Since 2007, the Algerian Autorite de Regulation de la Poste et des Telecommunications (ARPT) has made several decisions declaring OTA a "dominant operator" and, as a result, OTA has been under pressure from ARPT to increase its retail tariffs and leave more room for its competitors. OTA has filed claims against such requests and has also filed a separate claim against ARPT in respect of its criteria for the approval of termination tariffs, however to date has been unsuccessful in respect of such claims. From July 2009, the ARPT introduced revised market termination tariffs, with OTA penalized more than its competitors as a result of being deemed a "dominant operator". 2011.06 in 2009, the Algerian government put into place legislation to prevent companies from repatriating dividends to foreign investors while outstanding tax claims existed against such company. As a result of the existing claim, OTA is currently prevented from repatriating 50% of the 2008 dividend and all of the 2009 dividend. This has had a material adverse effect on the liquidity of OTH.
